By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Genesis Mix Lab provides an AI-powered audio mixing, mastering, and analysis platform. The Service includes:

• AI-assisted audio mixing and mastering tools
• Audio file upload, storage, and management
• Stem separation and audio analysis
• Export and download of processed audio files
• Collaboration features (on applicable plans)

To use certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 13 years old (or 16 in the EU/EEA) to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

Free Tier: Includes limited access to the Service at no charge, subject to usage limitations described on our pricing page.

Paid Plans: Paid subscriptions are billed monthly or annually as selected at purchase. Prices are displayed in USD and may be subject to applicable taxes.

Renewals: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

Refunds: We offer a 14-day money-back guarantee for new paid subscriptions. After 14 days, refunds are not available except as required by applicable law.

Price Changes: We may change subscription prices with 30 days' advance notice. Continued use after a price change constitutes acceptance.

You agree not to:

• Upload content that you do not have the right to use or distribute
• Upload content that is illegal, infringing, defamatory, obscene, or harmful
• Use the Service to generate, mix, or distribute content that promotes violence or hate
• Attempt to reverse-engineer, decompile, or extract the source code of our AI models or software
• Use automated scripts, bots, or scrapers to access the Service
• Interfere with or disrupt the Service or its infrastructure
• Circumvent usage limits, storage quotas, or access controls
• Resell or redistribute the Service without written permission
• Use the Service for competitive analysis or to build a competing product

Our IP: The Service, including its design, code, AI models, algorithms, branding, and documentation, is owned by Genesis Mix Lab and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any rights to our IP beyond the limited license to use the Service.

Trademarks: "Genesis Mix Lab," our logo, and related marks are trademarks of Genesis Mix Lab. You may not use our trademarks without prior written consent.

You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe on any third party's intellectual property rights.

We may remove content that violates these Terms or applicable law. We are not responsible for any content uploaded by users.

Our Service uses artificial intelligence to analyze and process your audio. By using the Service, you acknowledge that:

• AI-generated suggestions and processing results are provided "as is" and may not meet your specific expectations
• We may use anonymized, aggregated data derived from usage patterns to improve our AI models -- this data cannot be used to reconstruct your original audio
• Your individual audio files are never used to train AI models without your explicit opt-in consent
• AI processing results may vary and are not guaranteed to match any specific reference or standard

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we aim to provide advance notice)
• Emergency maintenance or security patches
• Factors beyond our reasonable control (force majeure, internet outages, third-party service failures)

We will make commercially reasonable efforts to minimize downtime and notify users of planned maintenance windows.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL GENESIS MIX LAB, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Genesis Mix Lab and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your content or audio files
• Your violation of these Terms
• Your violation of any third party's rights

By You: You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination, your right to use the Service ceases immediately.

By Us: We may suspend or terminate your account at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms. We will make reasonable efforts to notify you and provide an opportunity to download your content before deletion.

Effect of Termination: Upon termination, your audio files and data will be deleted in accordance with our Privacy Policy. Sections regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall take place in San Francisco, California.

You and Genesis Mix Lab agree to waive any right to a jury trial or to participate in a class action. Small claims court actions are exempt from this arbitration provision.

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
